Terms of Service
Effective October 22, 2026
These terms are the agreement between LogisAI Corporation ("LogisAI Corporation", "we") and the accounting firm or business that creates an account ("you", the "Customer"). You accept them by ticking the box at signup, and the dated version you accepted (2026-10-22) is recorded against your sign-in.
1.What the service is
AccountsAI is bookkeeping software with an autonomous agent inside it. You send in evidence — PDFs, photos and emailed receipts, CSV bank exports and PDF bank statements — and the agent reads it, codes it to your chart of accounts, reconciles it against the bank, and keeps a double-entry ledger from which financial statements, sales-tax and GST worksheets, filing worksheets and a printable bank reconciliation are produced. Firms use it across their clients' books from a practice console; businesses use it on their own books from a customer portal.
The agent is a preparer. It does not approve its own work, move money, or file anything with a tax authority, and it stops and asks a person whenever it is unsure. Those limits are built into the software, not into these terms, and no plan or setting removes them.
LogisAI Corporation is not an accounting firm, a CPA or CPA firm, a tax preparer, or a law firm, and nothing the service produces is professional advice. Books, statements and worksheets are prepared for review by you or by the accountant you engage; the judgment, the sign-off and any professional licence remain with the humans using the service.
2.Accounts and eligibility
The service is for businesses and accounting practices, not consumers. You must be at least 18 and have the authority to bind the firm or business you sign up for. Each person signs in with their own credentials; you are responsible for what happens under your account and your team's accounts, for keeping passwords private, and for telling us at [email protected] without delay if you believe a sign-in has been compromised. Two-step verification is available to every account and may be made mandatory for your organisation by its owner.
Owners and administrators control who else can see and act on the books: team members you invite, and accounting firms you engage. Those people's actions are yours as far as these terms are concerned, and theirs as far as the activity trail is concerned, which records who did what.
3.Firms, clients and engagements
A business owns its books. An accounting firm works on them under an engagement that either side can end, and inside that engagement the firm sets the policy: what the agent may do alone, what needs a person, and who approves what. When an engagement ends the books stay with the business, and the firm's access ends with it.
Engagement letters, fees and invoices between a firm and its client are between those two parties. The service carries the letter, records the invoice, and — where the firm connects its own Stripe account — settles payment through Stripe under the firm's agreement with Stripe. LogisAI Corporation is not a party to the engagement and does not guarantee either side's performance of it.
4.Acceptable use
You agree not to, and not to let anyone using your account:
- upload documents or data you have no right to process, or use the service to keep books you are not authorised to keep;
- use the service to launder money, evade tax, or prepare records you know to be false;
- probe, scan or test the security of the service other than through a disclosure to us, or try to reach another customer's data;
- resell the service, scrape it, or run automated traffic against it beyond the published API and rate limits;
- upload malware, or content that is unlawful where you or we operate;
- circumvent usage limits, metering, or the approval and verification controls described on our security page.
We may suspend an account that is doing any of these, with notice where that is practical and without it where waiting would harm other customers or the service.
5.Your data, and our licence to process it
Everything you and your team upload or enter, and everything the service derives from it — the books, the statements, the decision log — is Customer Data, and it is yours. You give LogisAI Corporation a licence to host, copy, transmit, display and process Customer Data only as needed to provide the service to you, to keep it secure, to meet the law, and to answer support requests you make. We do not sell Customer Data, we do not use it for advertising, and we do not use it to train artificial-intelligence models — ours or anyone else's. We may compute aggregated, de-identified service statistics (for example, how often the agent escalates) that cannot be traced to you or to any person in your documents.
Your documents contain other people's information: suppliers, customers, employees. You are responsible for having the right to process that information and for any notice or consent the law requires you to give them. Where privacy law treats you as the controller or business and LogisAI Corporation as your processor or service provider, these terms and our Privacy Policy are the written instructions under which we process on your behalf.
You can export your documents and reports from the portal at any time, and a business owner can request deletion as described in section 8.
6.How the AI processes your data
The agent runs on large language models operated by third parties, currently Anthropic and Google (Gemini). We send them two kinds of material. Text: prompts built from document text, extracted fields and your books, after a masking gateway has replaced Social Security numbers, Employer Identification numbers and bank account numbers with tokens; the real values never leave our infrastructure and the model's answer is re-hydrated here. Images: pages of PDFs and photos of receipts are sent as images so the model can read them, and images are not redacted — whatever is printed on the page reaches the provider. Both providers are used through their commercial APIs under terms that do not allow training on our inputs or outputs.
Model output can be wrong. The service checks it — arithmetic that must tie, evidence that must exist, policy that must be respected, and a second model instructed to refute the first on material judgment calls — and anything that fails those checks, or is material or unusual, is routed to a person. Those controls reduce errors; they do not eliminate them. You and the accountant you engage remain responsible for reviewing the books and anything filed or relied upon from them.
What is and is not masked, and what is planned, is stated in the same words on our security page and our sub-processor list.
7.Sub-processors
We use third parties to host the service, send email, run the models, meter billing and settle payments. The current list, with what each receives and where it processes, is at theaccountsai.com/legal/subprocessors. We update the list before a new sub-processor handles Customer Data and email account owners at least 15 days in advance; if you object on reasonable grounds and we cannot offer an alternative, you may cancel before the change takes effect and we refund prepaid fees for the remaining period.
8.Retention and deletion
Accounting records have to be kept. The service enforces a statutory minimum after the end of the period a record belongs to — seven years for books kept under United States jurisdiction, six for Canada — and a business may set a longer retention period but not a shorter one. A document that a finalized period relies on is kept for that minimum regardless of other settings. An owner or administrator may place a legal hold, which freezes everything it covers against deletion until the hold is lifted.
A business owner may request deletion of removed documents, or of the whole business. The service lists what can be deleted and explains, item by item, what must be kept and why; after you confirm, a 14-day cooling period runs before anything is removed, during which the request can be withdrawn. Deletion removes the file contents; the ledger entries and the activity trail that record what was done are retained, as the law requires of accounting records.
When your subscription ends you keep read and export access for 30 days. After that we delete your Customer Data on the same rules, subject to the statutory minimums, any legal hold, and copies in encrypted backups that expire on their own schedule.
9.Security
We protect Customer Data with controls that are structural rather than procedural: row-level security in the database so one customer cannot read another's rows, an append-only ledger and decision log, TLS 1.3 in transit, encryption at rest, field-level encryption for credentials and the identifier vault, two-step verification, role-based access that denies by default, malware scanning of every upload, and nightly encrypted off-site backups with a tested restore procedure. The full description, and an honest list of what is not yet built, is on our security page.
If we confirm a security incident that has affected your Customer Data we will tell the owner of your account without undue delay, and in any case within 72 hours of confirming it, with what we know and what we are doing.
10.Fees and billing
Prices are on our pricing page, in US dollars for the United States and Canadian dollars for Canada, and the plan you choose at signup is the one you are billed on. Subscriptions are billed monthly in advance, or annually in advance at the discount shown. Usage beyond what a plan includes — pages past the included allowance — is billed in arrears at the end of each month. Firms are billed per active client book, only for the months in which the agent closed that book with at most 10% of decisions made by a person. A trial or pilot is free for its stated length and converts only if you add a payment method.
Prices exclude sales taxes, GST/HST and similar, which we add where we are required to collect them. If a payment fails we tell you and retry; after 10 days without payment we may suspend access until the balance is settled, and after 30 days we may terminate. We may change prices with at least 30 days' notice by email; a change never applies in the middle of an annual term you have already paid for. Fees are not refundable except where these terms or the law say otherwise. Query a charge within 60 days of the invoice and we will look into it.
11.Term and termination
A monthly subscription renews each month and an annual one each year until cancelled. You can cancel at any time from the portal or by writing to us; cancellation takes effect at the end of the period already paid for. We may end this agreement if you materially breach it and do not fix the breach within 30 days of our notice, or immediately where the breach is one that cannot be fixed or that puts other customers at risk. We may also retire the service as a whole on at least 90 days' notice, refunding any prepaid fees for the period after it closes.
Sections 5 (your data), 8 (retention), 12 (disclaimers), 13 (liability), 14 (indemnities), 15 (confidentiality) and 16 (governing law) survive termination.
12.Intellectual property
The software, the models' orchestration, the designs and the documentation are ours or our licensors', and nothing here transfers them to you. Customer Data is yours. If you send us suggestions we may use them without obligation, but never your Customer Data to do so.
13.Disclaimers
The service is provided as described on this site and nothing more is promised. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. In particular: the service is not professional accounting, tax or legal advice; its output is prepared for review by a qualified person and may contain errors; we do not guarantee that it will be uninterrupted or error-free, or that it will satisfy any particular tax authority, lender or auditor. Features marked as a preview or beta may change or be withdrawn.
14.Limitation of liability
Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, however caused. Each party's total liability arising out of this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to a party's fraud or wilful misconduct, to your obligation to pay fees, to either party's indemnities under section 14, or to liability that cannot be limited by law.
15.Indemnities
We will defend you against a third-party claim that the service, as we provide it, infringes that party's intellectual property, and pay the damages and costs a court finally awards or we agree in settlement; we may instead change the service, replace it, or end the agreement and refund prepaid fees. You will defend us against a third-party claim arising from Customer Data, from your use of the service in breach of these terms or the law, or from the professional services you or your firm provide to your clients, and pay the damages and costs awarded or agreed. The indemnified party must give prompt notice, let the other control the defence, and reasonably cooperate.
16.Confidentiality
Each party will keep the other's confidential information — Customer Data on our side, our non-public technical and pricing information on yours — to itself, use it only for this agreement, and protect it at least as carefully as its own. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed, in which case the disclosing party gives notice where the law allows.
17.Governing law and disputes
This agreement is governed by the laws of the Province of Ontario, Canada and the federal laws applicable there, without regard to conflict-of-law rules. Before starting proceedings, either party will write to the other describing the dispute and the two will try in good faith to resolve it within 30 days. Failing that, the courts of the Province of Ontario, Canada have exclusive jurisdiction, except that either party may seek an injunction anywhere to protect its intellectual property or confidential information.
18.Changes to these terms
We may update these terms. For a material change we email the owner of each account at least 30 days before it takes effect and post the new version, with its date, on this page; a change that only adds a feature, clarifies wording or is required by law may take effect when posted. If you do not agree to a material change you may cancel before it takes effect and we refund prepaid fees for the remaining period. Using the service after the effective date means you accept the new version. The version you accepted at signup is kept against your sign-in.
19.General

- Export and sanctions. You may not use the service where the laws of the United States or Canada forbid it, or if you are a sanctioned person.
